Welcome to The Coop Trade Center (CTC), the official e-commerce platform of the Online Micro Seller Multipurpose Cooperative (OMSMPC). These Terms and Conditions govern your use of the platform as a Buyer, Merchant (Authorized Seller), or Visitor.
By accessing, registering, or using any part of the CTC platform, you confirm that you understand and agree to these terms. If you disagree, please refrain from using the platform.
Definitions
- CTC: The Coop Trade Center, the digital commerce platform managed by OMSMPC.
- OMSMPC: Online Micro Seller Multipurpose Cooperative, the legal owner of the CTC.
- User: Any person who accesses or interacts with the CTC platform.
- Member: A verified and active cooperative member.
- Buyer: A registered member who purchases products or services on the platform.
- Merchant / Authorized Seller: A cooperative member authorized to list and sell goods/services via CTC.
- Supplier: A vendor providing inventory or goods to the platform.
- Platform: All CTC systems, including the web app, mobile interface, and administrative backend.
Eligibility
- Only OMSMPC members in good standing may transact as Buyers or Merchants.
- Non-members may browse the site but must become members to make purchases or sell products.
- OMSMPC reserves the right to verify member credentials and decline registration.
Account Creation and Responsibilities
- You must provide truthful and updated information during account creation.
- You are responsible for maintaining the confidentiality of your login credentials.
- Any unauthorized use of your account must be reported to CTC support immediately.
- OMSMPC reserves the right to suspend accounts due to suspicious activity or policy violations.
Merchant Access and Responsibilities
Only OMSMPC members may become Merchants. Merchant accounts are subject to approval and must comply with the following:
- Submit a seller application and necessary business documentation.
- List only lawful, accurate, and approved products.
- Fulfill orders promptly and accurately.
- Maintain inventory availability and up-to-date pricing.
- Respond to buyer inquiries within 24–48 hours.
- Abide by CTC's Seller Code of Conduct and platform-specific rules.
CTC reserves the right to delist products, impose penalties, or suspend merchant access due to non-compliance, customer complaints, or fraudulent practices.
Product Listings and Pricing
- Prices displayed on the platform include applicable taxes and CTC’s operational margin.
- CTC reserves the right to audit and approve listings before publication.
- Promotions and discounts must be pre-approved by CTC.
Orders, Payments, and Invoicing
- Orders are only confirmed upon successful payment.
- CTC supports digital wallets, bank transfers, card payments, and cooperative credit where applicable.
- Merchants may view real-time sales dashboards; payouts follow platform settlement rules.
- Order invoices are issued via BIR-accredited e-receipts (SMeS).
Delivery and Fulfillment
- CTC uses authorized logistics partners (e.g., Lalamove, Gogo Xpress) for order delivery.
- Merchants must ship orders within agreed lead times.
- Tracking information must be updated on the platform.
- Delays, lost shipments, or fulfillment issues must be immediately reported.
Returns, Refunds, and Dispute Resolution
- Buyers may initiate a return or refund request within 7 calendar days of delivery.
- Products must be returned in original condition unless damaged or defective.
- Refunds are processed after product evaluation and resolution between buyer and seller.
- Unresolved disputes are escalated to CTC Admin and, if necessary, OMSMPC’s Cooperative Oversight Committee.
Acceptable Use
Users (including Merchants) agree not to:
- Upload or sell counterfeit or prohibited goods
- Misrepresent cooperative affiliation
- Manipulate pricing or interfere with marketplace processes
- Exploit platform features for personal gain or fraud
- Engage in defamatory, abusive, or illegal behavior
Suspension and Termination
CTC reserves the right to suspend or terminate accounts, remove listings, or block access due to:
- Policy violations
- Non-performance (especially for Merchants)
- System abuse or fraud
- Legal compliance requirements
Intellectual Property
All platform content—including branding, logos, listings, system code, and creative materials—are owned by OMSMPC or its partners. Unauthorized use is strictly prohibited.
Liability and Indemnity
CTC and OMSMPC are not liable for indirect, incidental, or consequential damages arising from use of the platform. Users agree to indemnify the cooperative from any claims arising from their misuse, transactions, or content posted.
Governing Law
These Terms are governed by the laws of the Republic of the Philippines and the regulatory guidelines of the Cooperative Development Authority (CDA). Disputes are subject to CDA jurisdiction or proper Philippine courts, as necessary.
Changes to the Terms
OMSMPC may amend these Terms at any time. Updated versions will be posted on the platform and take effect immediately upon publication. Continued use of the platform constitutes agreement to the updated Terms.
